These terms apply when you use this website or engage mram, a marketing agency run by Jayesh Joshi and his team, for services. By accepting a quote, plan or proposal from us, you agree to these terms. If anything in a signed proposal differs from these terms, the proposal wins for that engagement.
1. Our services
We provide marketing services such as strategy, research, analytics, content, design, video, search, paid advertising management, email and website work. The exact scope of your work is set out in your chosen plan or written proposal. Anything outside that scope is quoted separately before we start it.
2. Quotes and plans
- Quotes are valid for 30 days unless they say otherwise.
- Plan prices shown on this website describe what each plan includes each month. Your proposal confirms the final scope and price.
- Changes to scope are agreed in writing, by email is fine, before the work begins.
3. Fees and payment
- Monthly in advance: plan fees are invoiced at the start of each month and are due before that month’s work begins.
- Onboarding fee: a one-time onboarding fee, where stated in your proposal, is paid with the first month and covers setup, audits and planning.
- Minimum term: plans run for a minimum of 3 months.
- Ending a plan: after the minimum term, either side can end the plan with 30 days’ written notice.
- Ad spend: money spent on advertising platforms is paid by you directly to those platforms, such as Google or Meta. It is separate from our fees.
- Taxes: fees exclude applicable taxes, which are added to invoices where required.
- Late payment: if an invoice is more than 15 days overdue, we may pause work until it is paid.
4. Your responsibilities
- Give us accurate information, timely feedback and the access we need, such as logins to ad accounts, website and analytics.
- Approve content, campaigns and budgets before they go live, and confirm that your products, claims and offers are lawful and accurate.
- Make sure any material you give us, such as logos, photos and text, is yours to use or properly licensed.
- Pay invoices on time and keep enough balance on your advertising accounts.
Delays in feedback or access can delay results and timelines, and do not pause fees.
5. Who owns the work
Once the invoices for it are paid in full, you own the final work we create specifically for you, including copy, designs, videos and campaign assets. Until then, we keep ownership. Our own tools, templates, methods and know-how stay ours, and stock images, fonts or software licensed from third parties remain under their own licence terms. Unless you tell us otherwise in writing, we may mention you as a client and show non-confidential work in our portfolio.
6. Confidentiality
We keep your business information confidential and use it only to deliver our services. You agree to do the same with our non-public pricing, methods and documents. This does not cover information that is already public or that the law requires us to disclose. We are happy to sign a separate non-disclosure agreement on request.
7. No guaranteed results
Marketing results depend on many things outside our control, including your market, competitors, budget, product, pricing and platform changes. We commit to doing skilled, careful work and reporting honestly, but we do not guarantee specific rankings, traffic, leads, sales or returns. Any timelines or estimates we share are our best judgement, not promises.
8. Third-party platforms
Advertising networks, social platforms, search engines and other tools have their own rules and may change, reject or suspend content or accounts. We are not responsible for their decisions, outages or policy changes, but we will help you respond to them.
9. Limit of liability
To the extent the law allows, our total liability for any claim connected to our services is limited to the fees you paid us in the 3 months before the claim arose. We are not liable for indirect or consequential losses, such as lost profits, lost revenue or lost data. Nothing in these terms limits liability that cannot be limited by law.
10. Ending the engagement
Either side may end an engagement immediately if the other seriously breaches these terms and does not fix it within 15 days of written notice. When an engagement ends, you pay for work done up to the end date, and we hand over paid-for work and return your account access.
11. Using this website
The content on this website, including text, design and articles, belongs to mram or its licensors. You may read and share links to it, but please do not copy it in bulk or present it as your own. The articles are general guidance, not professional advice for your specific situation.
12. Governing law
These terms are governed by the laws of India. Any dispute will be handled by the courts of Bengaluru, Karnataka. We will always try to resolve a concern by talking first.
13. Changes
We may update these terms from time to time. The version in force when you accept a quote or plan applies to that engagement, unless we both agree in writing to a newer version.
